Habvia Terms & Conditions for Agents

These Terms & Conditions (“Agreement”) are entered into between Habvia, Inc. (“Habvia,” “we,” “our,” or “us”) and the individual or entity registering as an agent, user, or contributor (“Agent,” “User,” or “You”). By creating an account, submitting property listings, contributing content, or otherwise using the Habvia platform, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
1. Purpose and Scope
Habvia provides a real estate listing platform and centralized database for licensed real estate professionals to advertise properties, manage listings, and connect with prospective buyers and renters. These Terms govern all aspects of your use of the platform, as well as rights regarding submitted content, contributed media, and likeness usage
2. Eligibility
By registering, you certify that:
You are a licensed real estate agent or an authorized representative legally permitted to advertise properties.
You have the authority to act on behalf of any brokerage, team, or entity listed in your profile.
You are at least 18 years of age or of legal age in your jurisdiction.
Any information you provide during registration is accurate and truthful.
3. Platform Use & Listing Submissions
When you submit a property listing to Habvia, you:
Grant Habvia a perpetual, irrevocable, royalty-free, worldwide license to host, reproduce, display, distribute, and modify the listing content for services, marketing, syndication, and partner platforms.
Understand that once published, listings are not deleted, but their status may be updated (e.g., sold, pending, withdrawn).
Acknowledge that Habvia may retain and analyze listing data for compliance, historical, or analytical purposes, even after a listing becomes inactive.
4. Accuracy of Information
You represent and warrant that:
All submitted information (including descriptions, images, pricing, and availability) is accurate, lawful, and non-misleading.
You have obtained all necessary rights, licenses, and consents to publish any property information or images.
You will promptly update or correct listings if details change, including property status, pricing, or availability.
5. Content Ownership & Usage Rights
A. Listings
You retain ownership of your listing content.
By submitting listings, you grant Habvia a non-exclusive, worldwide, royalty-free license to use, display, reproduce, distribute, enhance, and adapt your content for presentation, marketing, and analytics.
B. Contributed Content
If you provide other content (such as articles, marketing materials, media, or training resources), you grant Habvia:
A non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, adapt, publish, and distribute the content across:
Habvia’s website and mobile applications
Social media platforms
Marketing and promotional campaigns
Print and digital advertising
Educational and training materials
Habvia may edit, adapt, or format contributed content as needed while maintaining its integrity.
C. Attribution
You retain ownership of your contributed content.
Habvia will provide appropriate credit where practical unless you request otherwise.
6. Photo, Video & Media Release
By agreeing to these Terms, you grant Habvia the irrevocable right to record, use, publish, and distribute your image, voice, and likeness in photographs, videos, or audio recordings (“Media”) for promotional, educational, advertising, and commercial purposes.
Compensation: You acknowledge that you will not receive any royalties, compensation, or other payment for such use.
Editorial Control: Habvia retains full discretion over the creation, editing, modification, and distribution of the Media.
Composite Use: Media may be altered, combined, or distorted without your further approval.
Ownership: All rights, title, and interest in the Media shall belong exclusively to Habvia.
Minors: If the subject is under 18, a parent/guardian must provide written consent.
Duration: This release is perpetual unless revoked in writing and expressly agreed upon by Habvia.
7. Restrictions & Prohibited Use
You agree not to:
Scrape, copy, or republish data from the platform without prior written consent.
Submit false, defamatory, obscene, or unlawful content.
Upload content that infringes on the intellectual property rights of third parties.
Use the platform to solicit or spam other users.
Misrepresent your identity, credentials, or affiliation with a brokerage or entity.
8. Compensation
Unless separately agreed in writing:
You grant Habvia the rights outlined herein without expectation of compensation.
Any payments or commissions must be outlined in a separate written agreement and will not be assumed under these Terms.
9. Termination & Suspension
Habvia reserves the right, at its sole discretion, to:
Suspend or terminate your account with or without cause or notice.
Remove or disable any content that violates these Terms or applicable law.
Restrict access to the platform at any time.
Termination does not affect Habvia’s right to continue using previously submitted or published content or media.
10. Limitation of Liability
To the fullest extent permitted by law, Habvia shall not be liable for:
Any loss, damages, or claims resulting from the use, publication, or removal of listings or content.
Inaccuracies in user-submitted content.
Any technical issues, interruptions, or downtime affecting access to the platform.
Any indirect, incidental, or consequential damages, including loss of revenue, profits, or goodwill.
11. Indemnification
You agree to defend, indemnify, and hold harmless Habvia, its officers, directors, employees, affiliates, and partners from any claims, damages, or expenses (including legal fees) arising from:
Your use of the platform.
Any content or media you submit.
Your violation of these Terms or applicable laws.
12. Governing Law
This Agreement shall be governed by and construed under the laws of Belize, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts of Belize.
13. Changes to This Agreement
Habvia may revise these Terms & Conditions at any time. Updates will be effective immediately upon posting to the website. Continued use of the platform constitutes acceptance of the updated Terms.
