2.2 Transactions: Any transactions conducted through the Service are solely between the buyer and seller. Habvia is not a party to any transaction and does not guarantee the accuracy of listings, the quality of properties, or the fulfillment of any transaction.

2.3 Fees: We may charge fees for certain services, such as premium listings or marketing tools. Any applicable fees will be clearly stated at the time of purchase. You agree to pay all fees incurred by your use of the Service.

3. User Conduct

3.1 Prohibited Conduct: You agree not to:

 

    • Use the Service for any fraudulent, unlawful, or unauthorized purpose.

    • Post or transmit any false, misleading, or defamatory content.

    • Infringe upon the intellectual property rights of others.

    • Interfere with or disrupt the operation of the Service or the servers or networks used to make the Service available.

    • Engage in any conduct that could harm the reputation or integrity of Habvia.

3.2 User Content: You are solely responsible for any content you post or transmit through the Service. By posting content, you grant Habvia a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and distribute your content in connection with the operation of the Service.

Habvia Agent Signup Agreement

This Habvia Agent Signup Agreement (“Agreement”) is entered into by and between you (“Agent,” “User,” or “You”) and Habvia, Inc. (“Habvia,” “we,” or “us”). By creating an account and submitting real estate listings on the Habvia platform, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions outlined below.

  1. Purpose and Scope

Habvia is a real estate listing website and centralized database that allows licensed real estate professionals to advertise properties, manage listings, and connect with prospective buyers and renters. You are responsible for ensuring all information submitted is accurate, up-to-date, and in compliance with all applicable laws and regulations.

  1. Eligibility

By registering, you certify that:

  • You are a licensed real estate agent or authorized representative legally permitted to advertise properties for sale or lease.
  • You are authorized to act on behalf of any brokerage, team, or entity listed in your profile.
  1. Listing Submissions

By submitting a property listing to Habvia, you:

  • Grant Habvia a perpetual, irrevocable, royalty-free, worldwide license to host, reproduce, display, distribute, and modify the listing content in connection with its services, marketing, and partner platforms.
  • Acknowledge that once a listing is published, it will not be deleted or removed from the Habvia platform, but its status may be updated (e.g., sold, pending, withdrawn).
  • Agree that Habvia may retain all listing data for historical, analytical, and compliance purposes.
  1. Accuracy of Information

You represent and warrant that:

  • All content submitted (including property details, images, pricing, and contact information) is accurate, not misleading, and does not infringe on any third-party rights.
  • You will promptly update listings to reflect any material changes, including changes in availability, pricing, or property status.
  1. Content Ownership and Rights
  • You retain ownership of your original listing content. However, by submitting it to Habvia, you grant us a non-exclusive license to use, display, reproduce, and distribute that content in connection with our platform and services.
  • Habvia may enhance, reformat, or combine listing data with other datasets for presentation or analytical purposes.
  1. Platform Use and Restrictions

You agree not to:

  • Scrape, copy, or republish data from the Habvia platform without written permission.
  • Misrepresent listings, impersonate others, or upload false or misleading content.
  • Use Habvia to solicit agents or leads inappropriately or for any unlawful or deceptive purposes.
  1. Termination and Suspension

Habvia reserves the right to:

  • Suspend or terminate your account at any time, with or without cause or notice.
  • Remove or disable access to any listing that violates this Agreement or is deemed inappropriate, inaccurate, or unlawful.
  1. No Guarantees

Habvia does not guarantee lead generation, listing visibility, buyer interest, or sales performance. Listings may appear on partner sites or be removed from visibility at Habvia’s discretion without liability.

  1. Limitation of Liability

To the fullest extent permitted by law, Habvia is not liable for:

  • Any loss or damage resulting from listing publication, removal, or exposure.
  • Inaccuracies in listings due to user-submitted content.
  • Technical malfunctions or interruptions in service.
  1. Indemnification

You agree to indemnify, defend, and hold harmless Habvia, its officers, employees, and affiliates from and against all claims, damages, liabilities, and expenses arising from your use of the platform, submitted content, or breach of this Agreement.

  1. Changes to This Agreement

Habvia may update or modify this Agreement at any time. Continued use of the platform after such changes constitutes your acceptance of the updated terms.

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Habvia is headquartered, without regard to conflict of law principles.

🟨 HABVIA VENDOR AGREEMENT

This Vendor Agreement (“Agreement”) is made between you (“Vendor”, “you”, or “your”) and Habvia, Inc. (“Habvia”, “we”, or “us”).

  1. Purpose
    Habvia provides digital advertising space for vendors to promote their goods or services to real estate agents and potential buyers through the Habvia platform.
  2. Vendor Listings
    You may submit your business profile, logos, descriptions, and service offerings (“Vendor Content”) for listing on the Habvia platform. You grant Habvia a non-exclusive, worldwide, royalty-free license to display and distribute this content on our platform and any affiliated channels.
  3. Accuracy and Ownership
    You are solely responsible for the accuracy of all Vendor Content submitted. You must own or have proper authorization to use all images, logos, and trademarks submitted.
  4. Free Trial and Fees
    Habvia may offer a free advertising period, after which fees of will apply depending on selected placement or services. All fees are subject to change with 30 days’ notice.
  5. Content Removal
    Habvia reserves the right to reject, remove, or modify any Vendor Content that violates our policies or is deemed inappropriate, inaccurate, or misleading. Vendors may request content edits but published content is archived and retained for reporting and analytical purposes.
  6. Platform Use and Restrictions
    You may not solicit agents or users through spam, false advertising, or misleading information. Any form of abuse, misrepresentation, or unauthorized access will result in immediate termination.
  7. Indemnification
    You agree to indemnify and hold harmless Habvia and its affiliates from any claims or damages arising from your advertisements, including copyright violations or false claims.
  8. Governing Law
    This Agreement is governed by the laws of the jurisdiction in which Habvia operates.

By submitting your business to Habvia, you agree to be bound by the terms of this Vendor Agreement.

🟩 HABVIA BUYER TERMS OF USE AGREEMENT

This Buyer Agreement (“Agreement”) is entered into between you (“User”, “Buyer”, or “You”) and Habvia, Inc. (“Habvia”, “we”, “our”, or “us”). By accessing or using the Habvia platform, you agree to the following terms and conditions:

  1. Purpose
    Habvia is an online real estate platform that provides access to real estate listings and information submitted by licensed agents and other real estate professionals. Habvia does not broker real estate transactions and is not a party to any purchase, sale, lease, or rental agreement.
  2. No Agency Relationship
    Your use of Habvia does not create an agency, fiduciary, or brokerage relationship. Any agreements or transactions you enter into are solely between you and the listing agent or property owner.
  3. Accuracy of Information
    Property listings on Habvia are submitted by third parties and are not verified by Habvia for accuracy, legality, or completeness. We do not guarantee the condition, availability, pricing, or features of any listing.
  4. No Removal of Listings
    Listings published on Habvia are part of a centralized real estate database and will not be removed, even after a transaction has been completed. Listing status (e.g., sold, pending, off-market) may be updated at the discretion of the listing agent.
  5. Use of Platform
    You agree to use the platform for personal, non-commercial purposes only. You may not scrape, copy, redistribute, or exploit listings or platform features for commercial use unless expressly permitted.
  6. Limitation of Liability
    Habvia is not responsible for any transaction outcome, property condition, or user interaction. All real estate decisions should be made in consultation with licensed professionals.
  7. Indemnification
    You agree to indemnify and hold harmless Habvia, its employees, and affiliates from any claims or damages arising from your use of the platform or any property transaction.
  8. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Habvia is headquartered.
